Terms of Service

These Terms of Service ("Terms") govern your access to and use of the cloud communication platform, website, and related services (collectively, the "Services") provided by Vestacall Limited ("VestaCall," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you confirm that you have read, understood, and agree to these Terms. If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

VestaCall provides cloud-based communication services including but not limited to:

  • Cloud PBX and virtual phone systems
  • SIP trunking and voice termination
  • Conversational AI and intelligent call routing
  • Call analytics and reporting dashboards
  • Business phone numbers including local, toll-free, and international numbers
  • Integrations with third-party business applications

3. Account Registration

To access our Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit unsolicited communications (spam), robocalls, or fraudulent messages
  • Interfere with or disrupt the integrity of our platform or networks
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Services for any illegal, harmful, or abusive purpose
  • Resell or redistribute Services without prior written authorization

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5. Pricing and Payment

Subscription fees are billed in advance on a monthly or annual basis as selected during signup. Usage-based charges (e.g., per-minute calling rates, additional phone numbers) are billed in arrears. All fees are non-refundable except as expressly stated in your service agreement or required by law.

We reserve the right to modify pricing with 30 days' advance notice. Continued use of Services after a price change constitutes acceptance of the new pricing.

6. Service Level Agreement

VestaCall commits to a 99.999% uptime SLA for our core communication platform. Details of our SLA, including service credits for downtime, are available in your service agreement. Scheduled maintenance windows are communicated in advance and excluded from uptime calculations.

7. Data Ownership and Privacy

You retain ownership of all data you submit to or generate through our Services ("Customer Data"). We process Customer Data solely to provide and improve our Services, as described in our Privacy Policy.

We implement industry-standard security measures including AES-256 encryption, TLS 1.3, and SOC 2 Type II certified infrastructure to protect your data.

8. Intellectual Property

All intellectual property rights in the Services, including software, trademarks, documentation, and content, remain the property of Vestacall Limited. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription term.

9. Third-Party Integrations

Our Services may integrate with third-party applications and services. Your use of third-party integrations is subject to those providers' terms and privacy policies. VestaCall is not responsible for the functionality, security, or availability of third-party services.

10. Limitation of Liability

To the maximum extent permitted by law, VestaCall's total liability for any claims arising from or related to the Services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss.

11. Indemnification

You agree to indemnify and hold harmless Vestacall Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the service agreement with 30 days' written notice. We may suspend or terminate your access immediately for violation of these Terms or non-payment. Upon termination, your right to use the Services ceases, and we will make your Customer Data available for export for 30 days.

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the platform at least 30 days before they take effect. Continued use of our Services after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
